Terms of Service
1. Who we are
Orrery is provided by Consolidated Technologies LLC, a Utah limited liability company doing business as Orrery by Arok.AI ("Orrery by Arok.AI", "we", "us"), 425 S 1000 E, 512C, Salt Lake City, UT 84102. "You" means the business that opens an Orrery account.
2. Accepting these terms
You accept these terms, together with the Data Processing Agreement ("DPA"), by ticking the box when you create an account or accept them in Setup. The person who does so confirms they are at least 18 and have authority to bind the business. Orrery is for businesses and independent professionals, not for personal or household use. Our Privacy policy explains how we handle account information.
3. What Orrery does
Orrery hosts booking pages for your services, rentals, stays and classes; shows clients your prices and payment rules; starts payments on your own Stripe account; sends booking emails; and keeps staff calendars in step.
Orrery is a tool, not a party to your bookings. The agreement for each booking is between you and your client. You provide the service, set the prices and rules, and answer for the quality, safety and legality of what you offer.
4. Your account and staff
- Staff sign in with links sent to their email. Keep those inboxes secure, and remove people from Setup when they no longer work with you.
- You are responsible for what happens under your account, including what your staff do in it.
- Keep your business name, contact details and booking page information accurate.
5. Payments and Stripe
- Card payments go to your own Stripe account. To take them you must connect a Stripe account and accept Stripe's Connected Account Agreement, which includes the Stripe Services Agreement. Stripe, not Orrery by Arok.AI, holds and pays out your money.
- Orrery tells Stripe when to charge, refund or release money according to the rules you set and the actions you take. We do not move money any other way.
- Stripe's processing fees are charged to your Stripe account and are separate from our fee.
- Disputes, chargebacks, failed balance charges and payouts are handled in your Stripe account under Stripe's terms. Orrery shows you balances that failed so you can follow up.
- You are responsible for any taxes on your services, including deciding whether to charge sales tax or lodging tax and paying it.
6. Our fee
- Our fee is 1% of each card payment collected through Orrery. Stripe deducts it from the payment as an application fee; there is no subscription or setup fee.
- When a payment is refunded through Orrery, our fee on the refunded amount is refunded too. Holds that are released carry no fee.
- Fees are not charged on payments you mark as paid in person.
- We will give at least 30 days' notice by email before changing our fee. The new fee applies to payments made after it takes effect.
7. Your rules and your clients
- You choose deposits, balances, refund and credit rules, cutoffs, no-show charges and holds. Orrery shows them to clients before they pay, on their receipt and on their manage-booking page, and applies them as set.
- Your rules must be lawful where you and your clients are, and you must honor them. If you change a rule, bookings already made keep the rule the client agreed to.
- You are responsible for your own client-facing policies, licenses, permits, insurance and waivers, and for giving clients your own privacy notice. A waiver you add is your document: Orrery shows it, records who signed and when, and keeps the text they signed, but doesn't make it suitable for your situation; have it checked where that matters.
- The questions you add to the booking form are yours. Ask only what you need, and don't use them for health records, government ID numbers, passwords or card details.
- Damage holds are card authorizations on your Stripe account. Cards hold them for about a week, so Orrery releases a hold within that time. Take from a hold only for damage your rules describe, and tell the client why.
- If you run programs for children, you are responsible for parental consent, safeguarding and the laws that apply to children's information where you are. Orrery asks the person booking to confirm they are the parent or guardian.
- Class packs are prepaid classes you sell under your own rules. You honor a pack's classes until its expiry date, and refunds for unused classes are between you and the client. A waitlist offer holds a place for a short time; a client who doesn't take it in time loses it to the next person.
- The logo, cover image and names you add must be yours or licensed to you. Orrery shows them on your booking pages and adds only a small "Bookings by Orrery" link inside its booking windows.
- Quotes requested through your booking page go to you by email; what you quote and agree with the client is between you.
- You handle your clients' questions and complaints about your services. Clients can use Orrery's Your data page for their data rights, as the DPA describes.
8. Calendars, Twilio and other services
When you or your staff connect Google Calendar, a Google Maps Platform key, Twilio or another service, its own terms apply, and charges for it (such as Google Maps usage) are yours, and you authorize Orrery to read and write what that connection needs. We are not responsible for those services, their outages or their changes. If one stops working, Orrery keeps your bookings and flags anything that needs you.
Emails about your bookings go out from your own address, either through your WordPress site with the Orrery plugin or through your own mailbox, whose login you give Orrery for that purpose only. You're responsible for that site or mailbox and its mail setup. Your booking page goes live once email is connected, and if sending stops working, Orrery tells you in Needs review rather than sending from anywhere else.
Texts and calls go through your own Twilio account, at Twilio's prices. You are responsible for registering your number for texting where carriers require it (in the US, A2P 10DLC), for having your clients' consent to texts, and for the laws on calling and texting where you and they are. Clients can reply STOP to end texts. Do not use phone sessions for HIPAA-covered therapy or other health care.
9. Acceptable use
Do not use Orrery to:
- Offer anything illegal, or anything Stripe prohibits under its restricted businesses list.
- Collect special categories of personal data, such as health records, in booking fields or notes. Orrery is not built to hold them.
- Send unwanted messages, mislead clients about prices or rules, or charge clients for anything they did not agree to.
- Break or test the security of Orrery, reach other businesses' data, overload the service, or copy it by scraping or reverse engineering.
- Resell or rebrand Orrery as your own product without our written agreement.
10. Your data
- Your business information and your clients' information remain yours. You give us permission to host, process and display it only to provide Orrery to you, as the DPA describes.
- You can download all of it from Setup at any time.
- We may use anonymous, aggregated usage figures that identify neither you nor your clients to run and improve Orrery.
11. Our property
Orrery, its software, designs and the Orrery name belong to Consolidated Technologies LLC. These terms give you the right to use Orrery while your account is open, and nothing more. If you send us suggestions, we may use them without owing you anything.
12. Availability and changes
Orrery is under active development. We aim to keep it running and your bookings safe, but we do not promise it will be available without interruption. We may add, change or remove features. If we remove something you rely on, we will give reasonable notice where we can.
13. Disclaimers
Apart from what these terms and the DPA expressly promise, Orrery is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not give legal, tax or financial advice, including about what deposit or cancellation rules you may use.
14. Limits on liability
- To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if warned they were possible.
- Each party's total liability arising out of these terms and the DPA is limited to the greater of the fees you paid us in the 12 months before the claim arose and US$100.
- These limits do not apply to your payment obligations, to your obligations under section 15, or to liability that the law does not allow to be limited.
15. Indemnity
You will defend and indemnify Consolidated Technologies LLC against claims by your clients or other third parties arising from your services, your rules, your content, or your breach of these terms or the law, and pay the resulting damages and reasonable costs.
16. Suspending and closing
- You can close your account at any time from Setup once no upcoming bookings remain. Closing deletes your data as the DPA describes, so download anything you want to keep first.
- We may suspend or close an account that breaks these terms, puts clients or Orrery at risk, or that Stripe or the law requires us to stop serving. Unless the law or a risk to others prevents it, we will tell you why first and give you a chance to fix it.
- Sections 6 (for fees already owed), 13, 14, 15, 17 and 18 continue after an account closes.
17. Governing law
These terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. Each party agrees to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah, except that either party may seek urgent relief in any court that has jurisdiction. The Standard Contractual Clauses in the DPA are governed as the DPA states.
18. General
- Changes to these terms: we will post changes here with a new version date and email account owners at least 30 days before a significant change takes effect. Continuing to use Orrery after that means you accept the change; if you do not, you can close your account.
- Whole agreement: these terms, the DPA and the Privacy policy are the whole agreement about Orrery. If they conflict, the DPA wins on data protection, and these terms win on everything else.
- Notices: we send notices to the account owner's email. Send notices to us at [email protected] and by mail to the address in section 1.
- Assignment: you may not transfer your account without our consent. We may transfer these terms as part of a merger, sale or reorganization, and will tell you if we do.
- Other: if part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. Neither party is liable for delays caused by events beyond its reasonable control.
If you booked with a business
You don't need an Orrery account and these terms don't bind you. Your booking is with the business, under the prices and rules shown before you paid and repeated on your receipt. Questions about the service, changes and refunds go to the business; your manage-booking link shows what you can change yourself. To download or delete your data, use the Your data link on the business's booking page, described in our Privacy policy.
